Agreement to Terms

Intellectual Property Rights

Client Property

Upon full payment for custom development services, clients will receive ownership of the source code and deliverables as specified in the project agreement. We retain the right to use general knowledge, techniques, and methodologies developed during the project for future work.

Payment Terms

All fees for our Services are as agreed upon in the project agreement or as posted on our website. Payment terms include:

• Payment is due according to the schedule specified in your agreement
• Late payments may incur additional fees
• All fees are non-refundable unless otherwise specified
• We reserve the right to suspend services for non-payment
• You are responsible for all taxes associated with your purchase

Warranties and Disclaimers

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, The Mosaic Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.

Indemnification

You agree to indemnify, defend, and hold harmless The Mosaic Code and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our Services or violation of these Terms.

Termination

We reserve the right to terminate or suspend your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
